NCDF GROUP RELATIONSHIP

Connecting US Stakeholders With NCDF Group’s Africa-Focused Platform Ecosystem

EmergX Capital Inc. supports structured international engagement around selected NCDF Group development platforms while maintaining clear roles between US coordination, Nigerian execution and regulated transaction activity.

Relationship Overview

NCDF Group is building a portfolio of real-economy platform companies and development initiatives across healthcare, agro-industry, digital trade, financial inclusion, infrastructure, housing, education, human capital and clean energy. EmergX Capital Inc. serves as a US-governed engagement and coordination platform connected to this ecosystem.

The relationship is designed to give US stakeholders a disciplined point of contact, a controlled pathway for information access and a structured process for evaluating whether deeper engagement is appropriate.

Role Separation

EmergX Capital Inc. does not replace NCDF Holdings Limited, Nigerian platform companies, Nigerian funds, project SPVs, regulated securities entities or investment management entities. It operates as the international relationship, origination and coordination layer. Underlying project rights, licences, concessions, operating plans and financial obligations remain with the appropriate NCDF entities or project companies.

This separation matters. It allows EmergX to support US-facing dialogue while maintaining clear accountability for project execution and regulated activity.

How the Relationship Works

First, NCDF platform companies or investment initiatives identify priority opportunities and prepare institutional materials. Second, EmergX helps organise US stakeholder dialogue and data-room access. Third, interested stakeholders may proceed through eligibility review, NDA and due diligence. Fourth, any investment-related execution is routed through registered broker-dealers, securities counsel, regulated entities or legally appropriate exemptions.

Why This Benefits Stakeholders

US stakeholders benefit from a familiar engagement interface, clearer information pathways, professional documentation and ongoing relationship management. NCDF benefits from better-qualified international interest, stronger partner alignment and reduced risk of informal or premature capital discussions. The result is a disciplined bridge between opportunity origination and serious institutional engagement.
